These Terms of Service ("Terms," "Agreement") constitute a legally binding agreement between you ("User," "you," "your") and ViralScriptify LLC, a Delaware limited liability company ("ViralScriptify," "Company," "we," "us," "our"), governing your access to and use of the ViralScriptify platform, including our website at viralscriptify.com, mobile applications, and all associated AI-powered script generation services (collectively, the "Services").

BY ACCESSING OR USING OUR SERVICES, YOU ACKNOWLEDGE THAT YOU HAVE READ, UNDERSTOOD, AND AGREE TO BE BOUND BY THESE TERMS. IF YOU DO NOT AGREE TO THESE TERMS, YOU MUST NOT ACCESS OR USE THE SERVICES.

1. ACCEPTANCE OF TERMS

1.1 Binding Agreement

By creating an account, accessing, or using our Services, you represent and warrant that:

• You are at least 18 years of age
• You have the legal capacity to enter into this Agreement
• You are not prohibited from using the Services under applicable law
• If using on behalf of an entity, you have authority to bind that entity

2. SERVICE DESCRIPTION

ViralScriptify provides an AI-powered platform that generates scripts based on user inputs. Our Services include:

• Automated script generation using proprietary AI technology
• Script customization and formatting tools
• Cloud storage for saved scripts
• Account management features
• Customer support services

2.2 Service Limitations

YOU ACKNOWLEDGE AND AGREE THAT:

• All scripts are computer-generated using artificial intelligence
• Generated content may contain errors, inaccuracies, or inconsistencies
• Scripts may inadvertently resemble existing copyrighted works
• We do not guarantee the uniqueness, originality, or legal compliance of any generated content
• All generated content must be reviewed and edited before use
• You assume all risks associated with using AI-generated content

3. ACCOUNT REGISTRATION AND SECURITY

3.1 Account Creation

To access certain features, you must create an account by providing:

• Accurate, current, and complete registration information
• A valid email address
• A secure password meeting our security requirements

3.2 Account Responsibilities

You are solely responsible for:

• Maintaining the confidentiality of your account credentials
• All activities occurring under your account
• Immediately notifying us of any unauthorized use at contact@viralscriptify.com
• Ensuring your account information remains accurate and current

3.3 Account Termination

We reserve the right to suspend or terminate accounts that:

• Violate these Terms or our Acceptable Use Policy
• Remain inactive for extended periods
• Engage in fraudulent or abusive behavior
• Fail to pay applicable fees

4. SUBSCRIPTION AND PAYMENT TERMS

4.1 Subscription Plans

We offer various subscription tiers with different features, generation limits, and pricing. Current plans and pricing are available on our website and may be updated periodically.

4.2 Payment Terms

• Payment Methods: We accept major credit cards and other payment methods as displayed
• Billing Cycle: Subscriptions are billed in advance on a recurring basis (monthly or annually)
• Automatic Renewal: Subscriptions automatically renew unless cancelled before the renewal date
• Price Changes: We may modify prices with 30 days advance notice

4.3 Refund Policy

We do not offer refunds at this time. All sales are final.

4.4 Cancellation Policy

• You may cancel your subscription at any time through your account settings
• Cancellation takes effect at the end of your current billing period
• You retain access to Services through the end of your paid billing period
• No partial refunds are provided for cancelled subscriptions
• To avoid charges for the next billing period, cancel at least 24 hours before renewal

4.5 Failed Payments

If payment fails, we may:

• Retry payment using your payment method on file
• Suspend access to premium features
• Terminate your subscription after repeated failures
• Pursue collection of outstanding amounts

5. ACCEPTABLE USE POLICY

5.1 Prohibited Uses

You agree NOT to use our Services to:

• Generate illegal, harmful, or defamatory content
• Create content that infringes intellectual property rights
• Produce content promoting violence, harassment, or discrimination
• Generate misleading or fraudulent scripts
• Create content violating any applicable laws or regulations
• Attempt to reverse-engineer our technology
• Use automated systems to access the Services (except via our API)
• Resell or redistribute the Services without authorization
• Circumvent usage limits or security measures
• Generate content harmful to minors

5.2 Content Standards

All generated scripts must comply with:

• Applicable copyright and intellectual property laws
• Industry content standards and regulations
• Platform-specific content policies (if applicable)
• General standards of decency and professionalism

5.3 Enforcement

Violations may result in:

• Warning notices
• Suspension of service
• Account termination
• Legal action
• Reporting to law enforcement

6. INTELLECTUAL PROPERTY RIGHTS

6.1 Service Intellectual Property

ViralScriptify retains all rights, title, and interest in:

• The Services and underlying technology
• Our proprietary AI algorithms and methods
• Our trademarks, logos, and branding
• Website content and design
• Documentation and support materials

6.2 User Content Rights

• Your Input: You retain all rights to prompts and ideas you submit
• Generated Scripts: We assign all rights in AI-generated output to you
• License to Us: You grant us a limited license to process your inputs solely to provide the Services

6.3 Copyright Disclaimer

YOU ACKNOWLEDGE THAT:

• AI-generated content may inadvertently resemble existing works
• We do not warrant that generated content is free from third-party rights
• You are solely responsible for ensuring content does not infringe copyrights
• We are not liable for any copyright infringement arising from your use of generated content

7. INDEMNIFICATION

You agree to indemnify, defend, and hold harmless ViralScriptify and its officers, directors, employees, agents, and affiliates from and against any claims, liabilities, damages, losses, costs, or expenses (including reasonable attorneys' fees) arising from:

• Your use of the Services
• Your violation of these Terms
• Your use of generated content
• Any content you create, publish, or distribute
• Your violation of any third-party rights
• Your violation of applicable laws

8. DISCLAIMERS AND LIMITATIONS OF LIABILITY

8.1 Service Disclaimers

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND. WE EXPRESSLY DISCLAIM ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING:

• WARRANTIES OF MERCHANTABILITY
• FITNESS FOR A PARTICULAR PURPOSE
• NON-INFRINGEMENT
• ACCURACY OR RELIABILITY OF CONTENT
• UNINTERRUPTED OR ERROR-FREE SERVICE

8.2 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

• OUR TOTAL LIABILITY SHALL NOT EXCEED THE GREATER OF $100 OR THE AMOUNT PAID BY YOU IN THE PRECEDING 12 MONTHS
• WE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES
• WE ARE NOT LIABLE FOR LOST PROFITS, DATA LOSS, OR BUSINESS INTERRUPTION
• THESE LIMITATIONS APPLY REGARDLESS OF THE THEORY OF LIABILITY

8.3 Essential Basis

YOU ACKNOWLEDGE THAT THESE LIMITATIONS ARE AN ESSENTIAL BASIS OF OUR AGREEMENT AND THAT WE WOULD NOT PROVIDE THE SERVICES WITHOUT THESE LIMITATIONS.

9. PRIVACY AND DATA PROTECTION

Your use of our Services is subject to our Privacy Policy, which is incorporated by reference into these Terms. By using our Services, you consent to our collection and use of your information as described in the Privacy Policy.

10. MODIFICATIONS TO SERVICES AND TERMS

10.1 Service Modifications

We reserve the right to:

• Modify, suspend, or discontinue any aspect of the Services
• Add or remove features
• Change usage limits or restrictions
• Update our AI technology and algorithms

10.2 Terms Updates

We may update these Terms at any time. If we make material changes:

• We will notify you via email or prominent notice
• Continued use after notice constitutes acceptance
• You may terminate your account if you disagree with changes

11. THIRD-PARTY SERVICES

11.1 Third-Party Integrations

Our Services may integrate with third-party services. Your use of such services is governed by their respective terms and privacy policies.

11.2 No Liability

We are not responsible for:

• Third-party service availability or functionality
• Content or practices of third-party services
• Any damages arising from third-party service use

12. TERMINATION

12.1 Termination by You

You may terminate your account at any time by:

• Using the account deletion feature
• Contacting us at contact@viralscriptify.com
• Cancelling your subscription

12.2 Termination by Us

We may terminate or suspend your account immediately if:

• You violate these Terms
• We are required to by law
• You engage in fraudulent activity
• You fail to pay fees when due

12.3 Effect of Termination

Upon termination:

• Your access to the Services ceases immediately
• We may delete your data after 30 days
• You remain liable for all fees incurred
• Sections that by their nature should survive will remain in effect

13. DISPUTE RESOLUTION

13.1 Informal Resolution

Before initiating formal proceedings, you agree to attempt informal resolution by contacting contact@viralscriptify.com.

13.2 Binding Arbitration

Any disputes not resolved informally shall be resolved through binding individual arbitration in accordance with the American Arbitration Association rules. Arbitration shall be conducted in Delaware.

13.3 Class Action Waiver

YOU WAIVE ANY RIGHT TO PARTICIPATE IN CLASS ACTIONS, CLASS ARBITRATIONS, OR REPRESENTATIVE ACTIONS. DISPUTES MUST BE BROUGHT INDIVIDUALLY.

13.4 Exceptions

The following disputes are not subject to arbitration:

• Small claims court actions
• Injunctive relief for IP infringement
• Disputes related to unauthorized access

14. GENERAL PROVISIONS

14.1 Governing Law

These Terms are governed by Delaware law without regard to conflict of law principles.

14.2 Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and ViralScriptify.

14.3 Severability

If any provision is found unenforceable, the remaining provisions shall continue in full effect.

14.4 No Waiver

Our failure to enforce any provision shall not constitute a waiver of that provision.

14.5 Assignment

You may not assign these Terms without our written consent. We may assign these Terms without restriction.

14.6 Force Majeure

We shall not be liable for failures due to circumstances beyond our reasonable control.

14.7 Export Compliance

You agree to comply with all applicable export and re-export control laws and regulations.
